Sirius XM Radio (NASDAQ:SIRI) released its Q1 2012 financial and operating results this morning and discussed those results during a conference call held at 8:00AM ET. The satellite radio service provider reported some record breaking numbers, including 405,000 net new subscribers for the quarter — the highest reported subscriber growth for the company in any Q1 since the 2008 merger of Sirius and XM.

The company also posted $805 Million in Quarterly Revenue, up 11% year-over-year and also a new record. Other highlights included Net Income of $108 Million ($0.02 per diluted share), which is up 38% year-over-year, Adjusted EBITDA of $208 Million, up 15% year-over-year, and Free Cash Flow of $15 Million, up from (-$17) million in the first quarter of 2011, the first time the company has ever reported a positive Free Cash Flow number in a first quarter.

All of this was possible while also reporting a decrease in self-pay monthly churn year-over-year, from 2.0% to 1.9%, which is also notable because this is the first quarter that subscribers were impacted by the price increase Sirius XM instituted on January 1st, 2012. The new vehicle consumer conversion rate remained stable at 45%. In light of a strengthening auto sales channel, Sirius XM management also raised their 2012 subscriber growth guidance from 1.3 Million to 1.5 million. Sirius XM Radio (NASDAQ:SIRI) - Howard Stern - lawsuit - appealFollowing several rants on his morning radio program vowing that he would appeal New York State Supreme Court Judge Barbara R. Kapnick’s April, 16th. 2012 decision to dismiss with prejudice the lawsuit he had filed against Sirius XM Radio (NASDAQ:SIRI) over a year ago, Howard Stern, via his production company, One Twelve, Inc., along with his long-time agent Don Buchwald have done just that, appealing their case to the Appellate Division of the Supreme Court of the State of New York for the First Judicial Department.

Howard Stern’s One Twelve, Inc. and his agent Don Buchwald are claiming that they are owed ~$330 million in performance based compensation due to a previously agreed upon internal subscriber benchmark being surpassed as a result of the merger between Sirius and XM, which brought north of 9 million XM subscribers into the combined company.

Sirius XM’s ‘Luther Radio’ will feature the timeless music from Luther Vandross’ 13 Gold and Platinum albums, along with archival concert recordings, rarities, as well as a special 2003 archival interview with Vandross.

Court documents filed today confirm New York State Supreme Court Judge Barbara R. Kapnick’s decision to dismiss with prejudice the lawsuit filed against Sirius XM Radio (NASDAQ:SIRI) by Howard Stern’s production company, One Twelve, Inc., and his long-time agent Don Buchwald. While Howard Stern was not officially named as a plaintiff in the suit, according to the New York Division of Corporations, Howard Stern remains listed as the “Chairman or Chief Executive Officer” of One Twelve, Inc. and stood to benefit substantially had the lawsuit been successful.

The lawsuit, filed just over a year ago on March 22nd, 2011, claimed that Sirius XM Radio had failed to uphold its contractual obligations to award certain bonuses, based on the company surpassing certain internal subscriber projections, to Howard Stern’s production company One Twelve, Inc. and his agent Don Buchwald. The lawsuit argued that while these subscriber number targets were surpassed, Sirius XM Radio never fulfilled their contractual obligations to pay the bonuses. The initial filing claimed that Sirius XM Radio was also required to pay out an additional bonus if these internal projections were exceeded by two million subscribers, with additional bonuses to be paid out for each two million in subscriber additions thereafter.
