Liberty Media Corporation (NASDAQ:LMCA) disclosed in SEC filings made public today that they have acquired 60.35 million shares of Sirius XM Radio (NASDAQ:SIRI) via open market purchases made yesterday, Tuesday, May 8th, and today, Wednesday May 9th. The shares were purchased at prices between $2.075 and $2.19. According to the SEC filing, Liberty Media purchased the 60,350,000 shares of Sirius XM stock for a”weighted average price” of $2.126.
This move comes fresh off the heels of Liberty Media’s (LMCA) application filing requesting “de facto” control of Sirius XM Radio’s licenses being dismissed by the Federal Communications Commission’s (FCC) last Friday and Liberty Media announcing yesterday morning that they had entered into a forward purchase contract, to close in the third quarter, for 302 million shares of Sirius XM’s stock at a price of $2.15 per share, for a total notional amount of $650 million, which would result in Liberty Media’s ownership stake in Sirius XM increasing to 45.2%. Liberty’s open market purchases on Tuesday and Wednesday now ups their stake to ~46.2%. Read More

The Consumer Electronics Association (CEA) told a Federal safety board that it disagrees with the board’s recommendation that technology for the car should disable portable devices within reach of the driver to prevent driver distraction.
In a letter Tuesday, the CEA told the National Transportation Safety Board (NTSB), there is no real world evidence to support a blanket ban of use of portable devices by drivers. Instead, the CEA supports banning texting while driving and it supports laws restricting mobile phone use for novice drivers.
The CEA said, “the private sector has aggressively responded to market demand with innovative products and applications that increase driver safety. Current and future technologies could never see the light of day under the NTSB’s broad recommendations, which would inhibit the very innovation that promises safer roadways.” Read More

On the heels of the Federal Communications Commission’s (FCC) dismissal of Liberty Media Corporation’s (NASDAQ:LMCA) application filing seeking “de facto” control of Sirius XM Radio’s (NASDAQ:SIRI) licenses on Friday, Liberty Media announced this morning that they have entered into a forward purchase contract for 302 million shares of Sirius XM stock at a price of $2.15 per share. Liberty Media said that this equates to “a total notional amount of $650 million” and that “if physically settled” would result in Liberty Media’s ownership stake in Sirius XM rising to 45.2% on an “as-converted basis.”
Liberty Media President and CEO Greg Maffei stated on Liberty’s Q1 conference call with analysts this morning that the company entered into this forward purchase contract to increase its stake in Sirius XM Radio because “we thought it was attractive financially and because we thought it increased some of our options around what the ultimate relationship with Sirius XM is.” Read More

National Latino Broadcasting (NLB) launches a new show on Sirius XM Radio (NASDAQ:SIRI) today. Latin Grammy En Vivo, will air daily on SiriusXM En Vivo (Sirius Radio and XM Radio channel 147) at 4:00 pm Eastern. The new show, hosted by industry veteran Kike Posada, is produced by National Latino Broadcasting and The Latin Recording Academy, the non-profit organization that recognizes excellence in the recorded arts and sciences through its annual Latin Grammy Awards. The Latin Grammy is the most prestigious award in Latin music.

The Federal Communications Commission (FCC) has issued a reply to Liberty Media’s (NASDAQ:LMCA) March 20th application filing for consent to transfer de facto control of Sirius XM Radio (NASDAQ:SIRI). The FCC dismisses the applications as being “unacceptable for filing.”
We find Liberty Media’s applications to be unacceptable for filing because they are defective with respect to “execution” and “other matters of a formal character.” Specifically, Liberty Media was unable to obtain the passwords, signatures, and other necessary information from Sirius to properly file an electronic transfer of control application. Furthermore, we conclude that a waiver of basic filing requirements is not warranted, as the facts disclosed in the referenced applications are not sufficient to establish that Liberty Media intends to take actions, such as conversion of preferred to common stock and installation of a board majority, that would constitute exercise of de facto or de jure control. We therefore dismiss Liberty Media’s applications.

Liberty Media’s applications with the FCC sought approval for a transfer of de facto control based upon the expiration of the restrictions in the 2009 investment agreement with Sirius XM Radio, in which they took an approximate 40% take in the satellite radio service provider. Liberty Media stated in its applications that Sirius XM Radio would not provide the company with its passwords, signatures and other information required to file an electronic transfer of control application. Harman International (NYSE:HAR) said it continues to gain market share in OEM car audio and infotainment. And its Harman Kardon and JBL names will be more widely available in new car high end audio systems.
Harman also said it is benefiting from its deals with luxury car makers.
“The luxury car segment we serve has been highly resilient and has outpaced the overall automotive market, and we continue to gain market share,” said CEO Dinesh C. Paliwal.
For branded audio systems, the Harman Kardon name will appear in BMW X3, 5, 6 and 7 series luxury vehicles in a new deal with the automaker. Harman also extended its premium audio relationship with Daimler (PINK:DDAIF) for Harman Kardon branded systems on Mercedes M, GLK, A, B, SLK, and SL class vehicles. Read More
